Terms of Service

These Terms of Service ("Terms") govern your access to and use of Africa Softwares and Services (the "Platform", "we", "us"), operated by [Legal entity name], [registered address], Kenya. By creating an account or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Who can use the Platform

You must be at least 18 years old and able to form a binding contract to register an account. You must provide your real first name, last name, email address, and phone number when registering, and keep them accurate. One account per person; accounts may not be shared, sold, or transferred.

2. Your account and its security

You are responsible for everything that happens under your account. Sign-in requires a password and a one-time code sent to your registered email (two-factor authentication) — keep your email account secure, since anyone with access to it can request and receive that code. Tell us immediately if you suspect unauthorised access.

3. Listings

If you list a software product or a service, you confirm that:

• you are authorised to represent the business behind the listing;
• the name, description, category, location, and contact details you provide are accurate and current;
• the screenshots you upload are genuine images of the product, not stock photos or another company's work;
• you own or have the right to use everything you upload (images, logos, descriptions, trademarks); and
• the product or service is legal to offer in every place you claim to serve.

We may require a minimum number of screenshots before a listing can be submitted or published, and we may reject, unpublish, or edit a listing that does not meet these requirements or that we reasonably believe is inaccurate, misleading, or harmful.

4. Verification badge

A "Verified" badge means our staff checked that the listed product or service appears to exist and that the contact details we were given are reachable at the time of review. It is not an endorsement, warranty, or guarantee of quality, safety, legality, or fitness for any purpose, and it does not mean we have audited the business's finances, ownership, or legal standing. Verification can be withdrawn at any time.

5. Reviews and ratings

Only signed-in users may post a review, and only one review per listing per account. You may not review your own listing. A review must reflect a genuine opinion or experience — you may not post a review in exchange for payment, discounts, or other incentive from the listed business, and a business may not create accounts to review its own listings or a competitor's. We may remove a review, or suspend an account, that breaks this rule or is otherwise abusive, defamatory, or unlawful.

6. Paid placement

The Platform may offer paid placement ("Promoted" or "Featured" listings) so a listing appears more prominently. Where this feature is enabled, pricing, available tiers, and payment methods will be shown at the time of purchase and are subject to change. Promotion does not affect a listing's Verified status, average rating, or review count, and does not guarantee any particular outcome (views, contacts, or sales). Fees for paid placement are non-refundable except where required by law or stated otherwise at the time of purchase.

7. Acceptable use

You agree not to:

• post content that is unlawful, fraudulent, defamatory, or infringes another person's rights;
• upload malware, or a file disguised as an image or screenshot;
• scrape, crawl, or systematically extract data from the Platform beyond normal browsing;
• attempt to bypass rate limits, authentication, or other security controls;
• impersonate another person or business, or misrepresent your affiliation with one; or
• use the Platform to send spam or unsolicited commercial messages to other users.

8. Content you post

You retain ownership of the content you post (listing descriptions, screenshots, reviews, profile information). By posting it, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, and distribute it as part of operating and promoting the Platform, for as long as it remains posted (and, for a reasonable period after removal, as needed for backups and legal compliance).

9. Our content and trademarks

The Platform's design, software, and the "Africa Softwares and Services" name and logo are owned by us or our licensors. Nothing in these Terms grants you a right to use them outside of normal use of the Platform.

10. We are not a party to your transactions

The Platform is a directory. Any purchase, contract, or communication between a buyer and a listed business happens directly between them — we are not a party to it, do not guarantee performance by either side, and are not responsible for disputes, defective products, or non-delivery. Deal with businesses you contact through the Platform with the same care you would use anywhere else online.

11. Suspension and termination

We may suspend or terminate your account or remove content, with or without notice, if we reasonably believe you have breached these Terms, created risk or legal exposure for us or another user, or if required by law. You may stop using the Platform and request deletion of your account at any time (see our Privacy Policy).

12. Disclaimers

The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, uninterrupted availability, or fitness for a particular purpose, to the fullest extent permitted by law. We do not warrant that listings, reviews, or verification statuses are accurate, complete, or current.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Platform or any transaction with a listed business. Our total liability for any claim arising from these Terms is limited to the amount you paid us, if any, in the twelve months before the claim arose.

14. Indemnity

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Platform, or your breach of these Terms.

15. Governing law

These Terms are governed by the laws of the Republic of Kenya, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of Kenya. If you access the Platform from outside Kenya, you do so on your own initiative and are responsible for compliance with local law.

16. Changes to these Terms

We may update these Terms from time to time. We will change the "Last updated" date above and, for material changes, take reasonable steps to notify registered users. Continued use of the Platform after a change takes effect means you accept the updated Terms.
